Corporate Compliance & Records
Maintaining accurate and current corporate records is a legal obligation, not an administrative afterthought. This includes annual return and ISC filings under the CBCA and applicable provincial legislation, minute book maintenance and reconstruction, articles amendments, and ongoing monitoring of corporate status and filing deadlines.
Governance Advisory
Practical, experience-based advice on governance structure, policy, and regulatory obligations. Engagements include bylaw review and restatement, director onboarding and fiduciary duty education, conflict of interest register management, and support for board committee structuring and succession planning.
Board & Meeting Support
End-to-end support for board and shareholder meetings — from drafting notices, agendas, and board packages through to attending, minuting, and tracking action items. Written resolutions in lieu of meetings are prepared as required, and AGM and shareholder meeting logistics are managed with care and precision.

Clarion Advisory provides governance and corporate secretarial support to organizations that need clarity, structure, and disciplined execution, particularly in regulated environments where documentation quality and compliance timelines matter. Our primary focus is supporting CSE and TSXV-listed companies and Capital Pool Companies (CPCs), including ongoing disclosure workflows in SEDAR+ and insider reporting administration support on SEDI. We also support early-stage private companies preparing for an IPO, and non-profits and associations seeking practical governance foundations.

Founder Bio (Jennifer Sutherland)
Jennifer Sutherland is the founder and principal consultant at Clarion Advisory. She brings extensive experience operating in regulated environments where strong governance, high-quality documentation, and consistent compliance routines are essential.
Over her career, Jennifer has worked in and alongside government, not-for-profits, and early-stage start-ups, giving her a practical understanding of how governance needs to scale as organizations grow in complexity, scrutiny, and stakeholder expectations.​ She is known for building practical systems that reduce risk and friction: board-ready meeting cadence, clear decision records, disciplined version control, and audit-ready documentation.
Jennifer holds a Bachelor of Arts in International Relations from the University of British Columbia and a Master of Business Administration from Bellevue University.
